Eau Coolers Ltd – Conditions of sale

 

1. General.

In these conditions the Company means Eau Coolers Limited. Contracts and orders can only be accepted upon and subject to our Conditions of Sale as set out hereunder. Where the Purchasers written conditions and warranties conflict with these conditions, the Company’s conditions shall prevail unless otherwise specifically agreed in writing. Nothing in these conditions will deprive the purchaser of any rights granted by statute in the United Kingdom.

2. Quotations.

All quotations are open for acceptance within 30 days of offer and are withdrawn at the expiry of such period. The Company reserves the right at any time to refuse any order. Any lease rental quotation is subject to status. When entering into lease rental agreements you will be subject to the terms and conditions of the contact that the leasing company provides. Eau Coolers are not agents for any leasing company. It is the customer’s responsibility to ensure that all information included on pro-forma invoices is correct. By proceeding with payment the customer is agreeing that all information is correct and the Company does not accept any liability if this information is incorrect.

3. Delivery.

Delivery will be to the address shown on the quotation. All delivery dates quoted are an estimate only. The Company shall not be liable for any consequential loss or damage or in any manner whatsoever for failure or delay in delivery when any circumstances prevented, hindered or delayed delivery. All deliveries must be checked upon receipt and any damages reported to eau coolers within 24 hours. eau coolers will not be responsible for any damages reported after this time.

4. Losses and Damage in Transit.

All losses and damage in transit must be reported to the carrier and the Company within 48 hours of receipt of goods or delivery note. Any damages should be noted on the delivery note. No claims can be entertained for damages if you request goods to be left on-site unsigned.

5. Returns.

Returns can only be accepted by prior arrangement and may be subject to a handling and restocking charge. Any returns must be sent in the original packaging.

6. Passing of Property.

The risk in the goods passes on delivery but beneficial ownership shall remain with the Company until full payment is received. Legal title to the goods shall remain with the Company until such time as the Company has received payment of the price of the goods and any other goods and services previously or subsequently supplied to the Purchaser.

7. Prices and Payment.

All prices are subject to the standard Value Added Tax. The Company reserves the right to charge interest at the rate of 8% plus the Bank of England base rate per month on all overdue accounts without prejudice to its right of recovery of the goods. In addition, any discounts allowed are valid only for payment within our terms. Our payment terms are 30 days from the date of invoice. Purchase order numbers can be added to invoices for the customer’s internal use but form no part of the sale and all sales are made based upon the Company’s terms.

8. Guarantee and Repair.

The Company will guarantee the goods to the extent of any guarantee it receives from manufacturers or specific guarantees given on products manufactured by the Company. Our drinking water dispensers are supplied with a return to base warranty only. Call outs to site are chargeable. Servicing of water dispensers does not extend the warranty of the water dispenser. It is recommended that pushfits and tubing are changed at least every three years, ideally every year. It is the customer’s responbility to carry out daily checks for leaks and damage.

9. Liability.

The Company shall have no liability whatsoever in respect of any delay or failure in delivery of any goods, or in performing any of the Company’s other obligations, due directly or indirectly to any cause of whatsoever nature, outside the reasonable control of the Company, including , but not limited to, acts of God, war, invasion, rebellion, riot, civil commotion, disorder, malicious damage, fire, flood, tempest, epidemic, quarantine restriction, strikes or other industrial disputes, lockouts, freight embargoes, unusually severe weather, shortage of raw materials or energy supplies, transport delays. The Company does not accept any responsibility for any work carried out by a third party.

10. Severability.

In the event that any of these Conditions or any part thereof shall be determined invalid, unlawful or unenforceable to any extent, such Condition or part shall be severed from the remainder of these conditions which shall continue to be valid to the fullest extent permitted by law.

11. Applicable Law.

The contract will be governed by the Laws of England and be subject to jurisdiction of the English Courts.
